Legal & Compliance (Manager)

Background

As the crypto asset market grows, the related laws and regulations are rapidly becoming more advanced and complex. In light of its global business development, the bitFlyer Group is further strengthening its response to financial regulations in Japan and overseas and building a more sophisticated governance framework.

The Legal & Compliance Dept. oversees both legal work — such as contracts, dispute handling, and legal consultation — and compliance work — such as dealing with the authorities, various reviews, and monitoring. We are looking for a manager to lead this work as a team and to run the department together with the department head.

Experience in either legal or compliance is sufficient at the time of joining. Your scope of responsibility will be decided based on your aptitude and interests, and you will gradually take on the areas in which you have no prior experience.

Responsibilities

■Legal

  • Drafting, reviewing, and negotiating contracts (sales, outsourcing, licensing, and other agreements with counterparties in Japan and overseas)

  • Establishing and operating the contract management framework

  • Handling disputes such as litigation and ADR (including engaging and managing outside counsel)

  • Responding to and advising on legal inquiries from other departments and group companies

  • Legal review of new services and newly handled crypto assets

  • Companies Act matters (operation of corporate bodies such as the general meeting of shareholders and the board of directors, preparation of minutes, and registration-related work)

  • Handling regulatory laws (the Payment Services Act, the Financial Instruments and Exchange Act, etc.), the Act on the Protection of Personal Information, the Act on Ensuring Fair Subcontract Transactions, labor-related laws, and similar legislation

  • Legal review of internal rules and manuals

■Compliance

  • Researching financial laws and regulations and formulating internal response policies

  • Liaising with and responding to relevant authorities such as the Financial Services Agency and Local Finance Bureaus, and building relationships with them (incident notifications, preparing and submitting business improvement reports, etc.)

  • Dealing with industry associations (such as the JVCEA) and complying with self-regulatory rules

  • Reviewing advertisements and promotional materials, including review under the Act against Unjustifiable Premiums and Misleading Representations

  • Article-by-article checks (verifying conformity with laws and self-regulatory rules) and other compliance checks

  • Conflict-of-interest management

  • Managing crypto asset-related information (including WX procedures and insider trading controls)

  • Serving as the secretariat for second-line committee meetings

  • Monitoring of AML-related operations and customer support operations

  • Strengthening the customer protection framework through complaint handling and analysis

  • Planning and delivering compliance training (for new employees, company-wide, and other audiences)

■Management

  • Setting team goals, managing progress, and ensuring the quality of work

  • Driving cross-departmental projects and coordinating with group companies

Scope of change in duties: After joining, you may be reassigned to any duties designated by the company.

Required Skills & Experience

■Japanese (native level)
■Hands-on experience in legal or compliance work at a financial institution (crypto asset exchange service provider, securities firm, bank, etc.) or at a corporate company (5+ years)
■Experience in negotiation and internal coordination with other departments and group companies
※Experience in both legal and compliance is not required. You may apply with experience in either one.

Preferred Skills & Experience

■English (business level)
■Hands-on legal or compliance experience at a crypto asset exchange service provider or a Type I Financial Instruments Business Operator
■Experience responding to inspections by authorities such as the Financial Services Agency
■Experience managing multiple projects and coordinating across departments
■Experience improving operational efficiency using generative AI tools and similar technologies
■Qualification as an attorney (in Japan or overseas)
■A degree in law (undergraduate law degree, J.D., LL.M., or equivalent)
■Other legal or compliance-related qualifications

Salary

■Expected annual salary: ¥10,000,000–¥15,000,000
※Includes a fixed overtime allowance for 45 hours per month
※Determined based on experience, skills, and most recent annual compensation

■Monthly salary breakdown
Base salary: ¥616,434–¥924,700
Fixed overtime allowance: ¥216,900–¥325,300 (for 45 hours)
※If fixed overtime hours are exceeded, additional premium pay is provided for overtime, late-night, and holiday work
※A performance-based bonus is provided separately

Working Hours

■Employment type: Full-time (no fixed term)
■Probation period: 6 months (no change in working conditions during probation)
■Working hours: Shift system (8 prescribed working hours per day)
■Break: 60 minutes (provided during working hours)
■Overtime work: Yes
